Private Membership Association Agreement

This Private Membership Association Agreement ("Agreement") is entered into by and between the members ("Members") ( meaning YOU) of GSI (the "Association") for the purpose of crowd funding a project involving the buying and selling of advertising. All Members acknowledge and understand the high-risk nature of this endeavor, and no guarantees are made regarding the success or profitability of the project.

1. Membership and Financial Contribution:

1.1. To become a Private Member of the Association, individuals must purchase a minimum of one package priced at 550 USDC (crypto)or 550 USD (fiat currency) (“Package").

1.2. Private Members agree to contribute funds towards the crowd funding project in exchange for potential monthly compensation after the 90 day term. Private Founding Members may receive UP to 75% for the first 3 months of the profits generated by the project, subject to the terms outlined in this Agreement.

2. Compensation and Agreement Duration:

2.1. Private Members agree to a minimum commitment period of 90 days ("Minimum Agreement").

2.2. At the end of the Minimum Agreement, Private Members will have the following options:

a) Take the profits earned during the 90 day Agreement period.

b) Terminate the Agreement and receive the original contribution amount (principle) along with any profits made.

c) Roll over the principle and profits into a new agreement, compounding the investment for continued participation in the project.

2.3. Private Members understand and acknowledge that the compensation is based on the success of the advertising buying and selling project, and is subject to market conditions and project performance.

3. Advertising Methods and Performance:

3.1. GSI will employ proven advertising models that have historically delivered positive results.

3.2. GSI commits to making its best efforts to fulfill the advertising buying and selling project as outlined in its business plan. However, Members understand that there are inherent risks associated with any investment, including the potential for financial loss.

4. Referral Bonuses:

4.1. GSI offers a referral bonus program to incentivize the Private Members to refer others to join the Association.

4.2. For each Package sold through a Private Member's referral, the referring Private Member will receive a referral bonus of 50 USDC.

4.3. Referral bonuses will be paid out upon successful completion of the referred Private Member's Minimum Agreement period.
5. Liability and Waiver:

5.1. Private Members acknowledge that participation in the Association and the crowd funding project involves risks and uncertainties. Private Members hereby release and discharge GSI, its owners, directors, officers, employees, and agents from any liability, claims, demands, actions, or causes of action arising out of or in connection with their membership and participation in the project.

5.2. Private Members agree to indemnify and hold GSI harmless from any claims or losses resulting from their own actions, decisions, or investments related to the crowd funding project.

6. Social Media and Solicitation Restrictions:

6.1. Private Members are prohibited from posting or sharing any content on social media platforms or any other medium that may suggest or hint towards GSI, the crowd funding project, or the potential for profit.

6.2. Private Members are strictly prohibited from using any email lists owned, purchased, or generated by the Private Member to invite new individuals to join GSI.

6.3. No advertising of any kind is permitted to attract individuals to join GSI. Private Membership is strictly by private invitation to personal contacts of the Private Member.

6.4. If any Private Member is found to have violated the restrictions mentioned in this section, both the Private Member and the person who invited the Private Member may forfeit their initial crowdfunded contribution, including any profits that have been made, without the possibility of refunds.

6.5 If you violate the above, you will be removed as a private member, and your money will be refunded Section #7 below does not apply to you.

7. Membership Revocation and Reapplication:

7.1. If at any point in time a Private Member's membership is revoked, either by GSI or by the Private Member's decision to terminate the agreement after any 90-day term, the Private Member shall no longer be a Private Member of GSI.

7.2. If a former Private Member wishes to rejoin GSI, they must submit a new application for Private Membership.

All Private members will be responsible to track and report their gains for income tax purposes.
